Rashpaul Bahia is an associate in the law firm McDermott Will & Emery UK LLP, based in it London office. He is a member of the Banking & Finance Group, where his practice primarily focuses on energy and derivatives transactions, representing banks and energy and commodity companies on a variety of transactional, cross-border regulatory and risk management issues. Rashpaul has also worked on a number of cross-border financing transactions, debt restructurings, project financings and transactions involving power companies.
Rashpaul has considerable experience advising clients on the documentation of both financially-settled and physically-settled commodities transactions involving emissions, coal, oil, gas and power, including the negotiation and analysis of such agreements. Rashpaul has also worked on a number of structured commodities transactions advising on such matters as tolling agreements, trading services agreements and transactions involving Kyoto Mechanisms such as Clean Development Mechanisms. Rashpaul’s knowledge about cross-border regulatory issues has enabled him to advise clients on responses to consultations by regulators on the liberalisation of the European energy markets.
Rashpaul has also completed a nine month secondment to the commodities trading desk of a major US investment bank where he was responsible for negotiating energy trading documentation as well as advising on transactional and regulatory issues arising in respect of commodities transactions.
Representative Experience
- Representation of Merrill Lynch on its acquisition of the energy trading business of Entergy-Koch
- Advising banks and energy and commodity companies on the documentation of their commodities transactions and relationships, involving master trading agreements such as ISDAs, EFETs, GTMAs and NBPs
- Advising a major US investment bank on its UK commodities trading operations and also coordinating, managing and reviewing a multi-jurisdictional due diligence project in over 80 jurisdictions on transactional and regulatory issues
- Advising on tolling agreements involving emissions, coal, oil and power
- Advising a leading investment bank in relation to offtake arrangements with a large coal fired power station
- Advising Korea Asset Management Corporation on the acquisition of approximately US$4 billion of distressed debt from companies within the Daewoo group
- Acting for the Sponsors in relation to the design, construction, financing, operation and maintenance of a submerged tunnel motorway in Greece
