Dr. Patrick Nordhues is a counsel in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Düsseldorf office. Patrick focuses his practice on corporate law, capital markets and mergers and acquisitions, including public takeovers. Patrick has advised several listed companies and investors in all aspects of corporate and capital markets law. In addition, Patrick has considerable experience representing private equity funds and strategic investors in acquisitions and divestitures including public takeovers.
His experience includes the representation of:

a private equity investor in connection with the divestiture by way of an auction process of a German contract manufacturing group;

an international provider of workplace solutions in the restructuring of its German entities by way of spin-off;

a listed industrial group in connection with the acquisition of a minority stake in a stock corporation listed in the MDAX;

a listed industrial group in connection with the acquisition of a German plant engineering group;

the management board of a manufacturing company in connection with the participation in a management participation program;

a German DAX group in connection with the establishment of a management participation program in a subsidiary;

a private equity investor in connection with the acquisition of a German distributor for branded products;

a family office in connection the divestiture of a German hunting and sporting arms manufacturing group to an investor from UAE;

a stock listed US group in connection with the acquisition of a German group providing pipeline services;

a German DAX group in connection with the divestiture by way of an auction process of a subsidiary providing logistics services;

a private equity investor in connection with the acquisition of a real estate portfolio;

a German financial outsourcing group in relation to the public takeover and subsequent taking private (delisting) of a listed software company by way of merger;

Before joining McDermott Patrick was attorney in the corporate department of Shearman & Sterling LLP.
Patrick is member of the Corporate Law Association (VGR) and was admitted to the German bar in 2001.
