Our Securities Practice Group has extensive experience in the representation of issuers and underwriters in the full range of capital market transactions in Germany, the UK, U.S. and internationally. Our transactions range broadly in many respects:- from small unregistered private placements to multi-billion dollar SEC-registered, underwritten offerings
- from basic common stock to high-yield debt, to exotic hybrid instruments, often involving multiple issuers
- with issuers in various industries, including professional and other services, light to heavy manufacturing, information technology and telecommunications, health care and consumer finance
Our Securities Practice Group also provides numerous other services to public companies and insiders of those companies, including:
- advice on periodic and current reporting by issuers and reporting of trading and transactions involving insiders
- advice on stockholder matters, including the solicitation of proxies and responding to shareholder proposals
- advice on complying with listing requirements of the NYSE, Nasdaq, Deutsche Börse, London and other exchanges
- representation before exchanges in various matters, including delisting proceedings
