McDermott Practice Growth Continues With Addition of Derivatives and Structured Products Group

NEW YORK — Corporate partner David L. Taub and tax partner John T. Lutz have joined McDermott, Will & Emery’s New York office.  Messrs. Taub and Lutz and four other lawyers join McDermott from Clifford Chance’s New York office with extensive experience advising clients on derivative and structured finance transactions.

Mr. Taub practices in the field of derivatives and structured products.  His practice extends to both the trading and securitization aspects of derivatives markets and he has structured and developed a variety of innovative and complex securitization transactions.  He regularly advises several market-leading dealers, as well as other market participants, regarding a range of derivative transactions - swaps, caps, collars, floors, investment vehicles and forward delivery agreements.  Mr. Taub has extensive experience in the field of municipal derivatives transactions and has been involved in several of the largest and most innovative primary and secondary market derivative product transactions in the municipal market.

Mr. Lutz practices in the fields of federal and state taxation, with a focus on structured finance, derivative and structured products.  In addition to structured finance, tax examinations and controversies, his experience includes insurance products, conventional U.S. and cross-border securities offerings and corporate mergers and acquisitions.  Mr. Lutz has extensive experience in all tax aspects of developing derivatives products and new structures for financings and other capital market transactions, including the structuring of cross-border tax-advantaged financings and asset-backed securities, using REMICs, FASITs and other vehicles.  Internationally, he has provided tax advice to sponsors, investment managers, credit enhancers and derivative providers, in a wide variety of cashflow and market value CBO, CLO and CDO transactions.  Mr. Lutz provides tax advice to derivative products dealers, in both the domestic and cross-border contexts, advising on U.S. and foreign tax issues related to equity swaps, repurchase agreements, securities lending transactions, structured notes and offshore structured finance vehicles.

Mr. Taub earned his J.D. from the University of California School of Law at Berkeley and his B.A. magna cum laude from Brown University.  He is admitted to practice in New York, and is a member of the City of New York Bar.

Mr. Lutz earned his J.D. from Villanova University School of Law, his LL.M. from New York University School of Law and his B.B.A. from University of Notre Dame.  He is admitted to practice in New York, and is a member of the New York State Bar Association – Tax Section and the National Association of Bond Lawyers.
