McDermott Advises Carlyle Group and APAMA on Merger with Progress Software

LONDON (20 April 2005) — The international law firm of McDermott Will & Emery has advised Apama and Carlyle Group on Apama’s merger with Progress Software Corporation.

The transaction was structured as a reverse triangular merger, resulting in gross proceeds of $28.2 million to the stockholders of Apama, and retention payments to the employees of Apama's subsidiary, Apama (UK).

The cross-border McDermott Will & Emery team was supported by client partner Michael McFall (London) and tax partner Jeff Wagner (Chicago).
