Financial Products - Insurance
Our Insurance Industry Group includes well-known attorneys whose practices focus on the design, trading, and risk management utilization of financial products by insurance and reinsurance companies, and their affiliates. We represent clients in connection with a range of financial products, from standardized exchange-traded securities, futures contracts, forwards, and options, to such highly complex and rapidly evolving over-the-counter products as credit derivatives, equity derivatives, securitized assets, contingent debt instruments, and hybrid products that have enjoyed explosive growth in recent years.
We work closely with our clients to implement state-of-the-art corporate derivatives policies and procedures; to obtain appropriate state insurance law approvals; and to get their Derivatives Use Plans approved by the State of New York. We work closely with clients on efforts to modernize state insurance investment laws as they relate to the use of derivative products. We represent clients in the design, regulatory appropriateness, and documentation of derivative products, including swaps, credit derivatives, securities lending arrangements, collateralized debt obligations, and various synthetic structures. We provide tax planning and legislative counseling to our clients in the context of those issues raised by financial products developed, used, or traded for investment, risk management, hedging, and arbitrage activities. We also provide tax defense, including regulatory and litigation counseling for financial product tax matters, with respect to U.S. domestic and international tax matters.
With the recent convergence of the insurance and capital markets, we advise clients on whether certain products are "derivatives" or "insurance" (for state and federal regulatory purposes) and on the use of special purpose vehicles and transformer entities, to allow insurance companies to assume derivatives exposures through insurance products.
