Health - Sub-acute/Long-Term Care
Our lawyers are working throughout the United States with providers, networks and investors in the burgeoning post-acute, sub-acute, long term care and home health market. We recognize that cost-effective legal services are an essential element in successfully managing change and growth in an industry marked by intensive regulatory oversight, changing reimbursement systems and new forms of delivery systems. Through a multidisciplinary team of experienced lawyers, we are able to assist clients in each of the following areas:
- Acquisition of new businesses
- Development of new lines of business
- Formation of provider networks
- Negotiations with payors
- Development of corporate compliance programs
- Corporate compliance audits and training programs
- Medicare and Medicaid reimbursement matters
- Assistance with legislative initiatives
- State, CON, licensure and survey Matters
- Contracts
- Financing (equity and debt)
- Employee benefits
- Antitrust
- Environmental matters
- Federal and state tax planning
We currently serve as merger and acquisition counsel to many public and private, for profit and nonprofit, companies which provide long term care, sub-acute care and home health care services. Our lawyers assist these companies with all aspects of the acquisition process, including due diligence, deal structuring and tax analysis, contract negotiation and drafting, regulatory approvals, transaction financing and legal opinions required at closing. This post-acute care segment of the health care marketplace has a unique set of regulatory, reimbursement and legal considerations which must be addressed in the merger and acquisition context. Our experience working with clients doing business in this specialized area of health care allows us to identify the key issues early in the acquisition process and avoid problems which might otherwise arise.
Our lawyers are assisted by experienced nurses who are integrally involved in our compliance program audits and training programs. These compliance programs are designed to provide clients with the tools necessary to achieve a high level of regulatory compliance and successfully meet the challenge of planned and unplanned governmental scrutiny.
Because McDermott Will & Emery lawyers represent health care clients in nearly every state, we are uniquely situated to work with businesses which have regional strategies requiring familiarity with multi-jurisdictional regulatory requirements. We are also work with other segments of the health care continuum in developing new health care delivery systems and therefore able to provide post-acute, sub-acute, long term care and home health providers with assistance in establishing vertical integration relationships with other providers.
