Subprime and Credit Markets
McDermott Will & Emery has a fully integrated Subprime and Credit Markets Practice Group to serve clients’ various needs arising from the repricings in the subprime debt markets and the related, broader effects on the credit markets. The group consists of more than 40 lawyers drawn from nine offices, including Chicago, London, Los Angeles, New York and Washington, D.C. The group employs the talents of lawyers from a diverse range of practice areas, including structured finance and derivatives, litigation, tax, bankruptcy/restructuring, investment management, SEC enforcement, and other governmental and regulatory investigations.

Our team combines the range of skills required for comprehensive analyses of the myriad issues arising in transactions, restructurings, litigation and regulatory investigations with respect to the subprime and broader credit markets.
We advise a wide spectrum of clients, including commercial and investment banks, hedge funds, investment advisors, corporations, pension funds and governmental organizations.
Experience with Structured Finance & Derivatives
We advise in relation to a wide spectrum of products and specialities, including collateralized debt obligations (CDOs), structured investment vehicles (SIVs), public and private securitizations of residential mortgage loans and other assets, credit linked notes and commercial paper programs.
Experience with Restructuring, Workouts & Insolvency
We have extensive experience advising on bankruptcy and creditors’ rights involving distressed transactions. We advise clients on debt restructuring, including workouts and restructuring of underlying mortgage and other loans, bonds and notes. We advise on cross-border restructuring and the insolvency of distressed transactions.
Internal, Regulatory & Criminal Investigation Experience
We advise and represent clients in the United States and Europe in relation to internal and special committee investigations, criminal and regulatory investigations and proceedings (before Department Of Justice, Securities and Exchange Commission, Commodity Futures Trading Commission and European regulators, including the Financial Services Authority). We have extensive experience with regulatory issues affecting structured finance products in both a transactional and contentious context, including valuation issues and corporate governance.
Litigation & Contentious Advice
We represent banks, hedge funds, asset managers and investors in litigation and disputes in the United States and Europe relating to a variety of structured finance products, including CDOs and credit linked securities. We have extensive experience advising clients on actual or anticipated contentious issues relating to structured finance transactions, such as trigger events and manager removal actions. We have broad and deep experience with class action and various other forms of civil securities litigation.
Experience with Financial Products
Through our top-ranked global tax practice, we offer local law tax advice in London, New York and other jurisdictions relating to the creation and structuring of mortgage and other loan securitizations, credit derivatives and other financial products, and to the multi-jurisdictional income and loss realization consequences involved in the work-out and restructuring of these transactions.
Government Strategies Experience
We offer political consulting and lobbying experience internationally as well as at the U.S. federal, state and local levels. We have broad experience in representing our clients’ interests before the U.S. Congress, federal administrative and regulatory agencies and departments, state legislatures, attorneys general, executive branches and regulatory bodies.
