We have extensive experience advising in a wide variety of sectors encompassing traditional "old" economies and the new high tech economies in the UK, Europe and the US. We have acted for almost all parties in such transactions, including buyers, sellers, investors, shareholder groups, boards of directors and financial advisers.
Our experience includes:
- Advising Aldersgate Investments as part of a consortium on the agreed cash offer for Duelguide plc for £2.1 bn, which comprised £585m cash and £1.5bn in assumed debt
- Advising Aldersgate Investments on the acquisition of two portfolios of approximately 850 pubs in aggregate
- Advising CD Bramall plc, on the recommended offer by Pendragon plc for the whole of their issued and to be issued share capital which valued CD Bramall at approximately £230m
- Advising Centerpulse on the $170m sale of its Vascutek vascular grafts business to Terumo Corporation
- Advising Kvaerner ASA on the sale to management of Kvaerner Plc
- Advising Numis Securities and IBS OPENSystems plc on the IPO of IBS OPENSystems plc, a new company formed by Numis Securities to acquire the entire issued share capital of International Business Systems (Public Services) Limited for £52 million. IBS OPENSystems raised £56 million through a flotation on AIM
- Advising Principal Hotels on the acquisition of The George Hotel, Edinburgh, for £21.5m
- Advising ProStrakan Group plc, a Scottish specialty pharmaceuticals company, in connection with the acquisition of APS Pharma GmbH, a German pharmaceuticals company
- Advising Schmalbach-Lubeca, one of Europe’s largest packaging companies, on the €1.7bn sale of its packaging and bottling businesses to Amcor, Australia’s largest packaging group. The combined Amcor-Schmalbach business operates 51 plants in 20 countries, making it one of the top five packaging groups in the world and will be the leader in North America, Latin America and Europe
- Advising The Exploration Company on its £43m merger, by way of scheme of arrangement, with El Oro Mining and Exploration Company
- Advising UBS Investment Bank and HSBC on the recommended offer on behalf of Taylor Woodrow for Wilson Connolly Holdings. The offer valued Wilson Connolly’s existing issued ordinary share capital at approximately £480m. As part of the transaction, HSBC provided a £950m new bank facility to Taylor Woodrow
