Overview
Robert (Bob) Clagg has a national practice advising private equity firms, strategic clients and entrepreneurs in their capacities as acquirors and sellers in a wide variety of mergers and acquisitions, private equity transactions, joint ventures, equity investments, and general corporate matters. Bob has extensive experience advising clients in several sectors, including healthcare, insurance and financial services, industrial, business services, consumer, and retail.
Bob regularly advises private equity clients in all stages of their portfolio company investments, from the structuring and acquisition of the initial investment through the exit. His practice includes advising private equity clients on financing transactions, recapitalizations, management incentive terms and structures, distressed and opportunistic investments, and traditional add-on opportunities.

- Represented New Harbor Capital in several platform acquisitions, add-on transactions and divestitures, including (i) investments in Access Infusion Care; Monroe Biomedical Research; Desert Spine and Sports Physicians; Community Psychiatry Management; Advent Home Medical; KURE Pain Management; Ocean State Healthcare; The Ear, Nose, Throat and Plastic Surgery Associates; and IndeVets, (ii) sales of a behavioral health practice management company to a multi-strategy private investment firm, KURE Pain Management to Clearway Pain Solutions (a portfolio company of NexPhase Capital), and Ocean State Healthcare to VillageMD and (iii) numerous add-on acquisitions for Access Infusion Care, Desert Spine and Sports Physicians, KURE Pain Management and Advent Home Medical
- Represented NexPhase Capital in several platform acquisitions, add-on transactions and divestitures, including (i) investments in Clearway Pain Solutions, Meduit Group and Metz Culinary Management, (ii) the sale of Action Behavior Centers to Charlesbank Capital Partners and (iii) numerous add-on acquisitions for Meduit Group, Clearway Pain Solutions and Metz Culinary Management
- Represented Prospect Hill Growth Partners in the formation of Urology Management Associates, a leading urology practice management group, and in its sale to Summit Health
- Represented MindPath Care Centers, an outpatient behavioral health services business and portfolio company of RC Capital, in its sale to Community Psychiatry Management
- Represented Arthur J. Gallagher & Co. (NYSE: AJG) in its acquisition of Eastern Insurance Group from Eastern Bank (NASDAQ: EBC)
- Represented Bain Capital in its backing of Emerald Bay Risk Solutions, a new carrier platform for long-term managing general agents’ platform partnerships
- Represented NORCAL Mutual Insurance Company, a California-based national malpractice insurer, in its demutualization and sale to ProAssurance (NYSE: PRA)
- Represented Transverse Insurance Group, a hybrid fronting company, in its sale to Mitsui Sumitomo Insurance Co., a member of MS&AD Insurance Group Holdings
- Represented Atlas General Holdings, a full-service insurance program administrator, in its sale to Arthur J. Gallagher & Co.
- Represented Crouse and Associates Insurance, a wholesale transportation insurance brokerage firm, in its sale to Ryan Specialty Group (NYSE: RYAN)
- Represented Strategic Risk Solutions, the world’s largest independent insurance manager, in its sale to Integrum Holdings
- Represented CHOICE Health Network, a technology-enabled, data-driven platform focusing on Medicare Advantage solutions, in its sale to Alight Solutions
