Overview
Gary B. Gertler represents hospitals, health care systems, managed care organizations, multi-specialty and single specialty medical groups, health care companies, ancillary management companies and other health care providers. He focuses on mergers, acquisitions and divestitures, strategic affiliations, private equity and debt transactions, hospital-affiliated group practices, joint ventures and syndications and health care regulatory and corporate matters. Gary previously served as the managing partner of the Los Angeles office.
Gary works particularly closely with the following:

- Ambulatory surgery centers
- Radiation therapy centers
- Dialysis facilities
- Diagnostic imaging centers

- Third-party payors, including accountable care organizations (ACOs), coordinated care organizations (CCOs), health maintenance organizations (HMOs) and preferred provider organizations (PPOs)
Gary advises clients on the structuring and development of hospital-affiliated physician organizations, including medical foundations, co-management arrangements, ancillary joint ventures, purchases and sales involving outpatient surgery, diagnostic imaging and radiation therapy. He also counsels management service organizations, practice management companies, integrated provider networks and related coordinated care arrangements.
Results
- Served as lead transaction counsel for a private for-profit hospital system’s acquisition and conversion of a nonprofit five-hospital health care system
- Served as lead transaction counsel in representing a publicly traded hospital system in its acquisition of 12 separate group practices (each between seven and 23 physicians) over a three-year period
- Served as lead transaction counsel for an esoteric clinical laboratory in connection with restructuring its governance, and preparing a private placement memorandum (PPM) that raised $71.1 million for a private equity-owned radiation oncology management company through the sale of additional equity interests
- Served as lead transaction counsel in connection with the acquisition of three radiation therapy centers for $20 million
- Served as lead transaction counsel in representing a for-profit dialysis provider in its development of eight dialysis center joint ventures with physicians
