Overview
Dana Dombey focuses her practice on representing private equity funds, strategic investors, ambulatory surgery centers and physician practices in a variety of transactional and regulatory matters. Dana is a practice area leader for the PPM practice.
Dana has assisted clients in connection with numerous transactions, including management and professional service arrangements, mergers and acquisitions, and joint ventures. She also regularly advises clients with respect to state licensure issues, compliance, Medicare and Medicaid reimbursement, corporate practice of medicine laws, the Anti-Kickback Statute, the Stark law and other federal and state legal, regulatory and business issues affecting healthcare providers.
Previously, Dana served as a foreign law clerk for the Honorable Uzi Vogelman at the Supreme Court of Israel. While in law school, she served as a student attorney at the Harvard Transactional Law Clinics and as a law clerk at the University of Miami’s Office of the General Counsel.

- MTS Healthcare Partners, a New York-based private equity fund, in various portfolio company acquisitions and investments, including its acquisition of Celerion, Inc., a clinical research organization providing early-stage contract research organization (CRO) services to the pharmaceutical, medical device and tobacco industries
- A New York-based private equity fund and a Florida-based private equity fund in their respective acquisitions of large multi-branded dental support organizations, which, combined, support more than 150 affiliated dental offices across nine states, including more than 400 dentists
- Team Health, Inc., in various acquisitions of anesthesiology and emergency medicine physician practice and management groups
- Harvest Partners, a New York-based private equity fund, in healthcare regulatory aspects of various portfolio company acquisitions and investments, including its acquisition and development of a national full-service home infusion therapy provider
- An ambulatory surgery center in negotiating joint venture among a major health system, national management company and various physician members
- Several physician-owned healthcare providers, including a leading Florida-based radiology group and a Florida-based pain management practice in their respective sales to national strategic acquirers
Regulatory Advice:
- Advised clients on a broad range of regulatory matters, including Medicare and Medicaid; state and federal fraud and abuse authorities, including the Stark physician self-referral law, Anti-Kickback Statute and False Claims Act; corporate practice of medicine and licensure; managed care contracting; telemedicine and digital health initiatives
