Kamal Sleiman is an experienced litigator representing individual and corporate clients in a wide variety of complex and high-stakes business disputes. Kamal’s national practice focuses on matters involving private equity transactions and investments. He also frequently represents healthcare systems and providers in connection with complex commercial litigation and arbitration proceedings.
Results
- Served as lead trial counsel for private equity-sponsored primary care organization in connection with purchase price dispute with selling shareholders.
- Counsel to multiple, private health care networks and management services organizations (MSOs) in connection with restrictive covenant, physician practice management (PPM) and related physician-contracting issues.
- Represented former directors of NASDAQ-traded SPAC in connection with defense of putative shareholder class action and derivative claims. Defeated multiple motions for class certification and negotiated favorable resolution of remaining direct and derivative claims.
- Achieved dismissal with prejudice of putative class action where the plaintiffs alleged that the defendant hospital failed to disclose emergency room fees.
- Obtained a substantial monetary award for private-equity sponsored pain management platform following expedited arbitration regarding purchase price adjustments and earnout consideration.
- Defeated motion for preliminary injunction that sought to enforce restrictive covenants against substance abuse and mental health provider client and two of the client’s employees. Decision affirmed on appeal.
- Obtained favorable settlement for lead investor asserting breach of fiduciary duty and related claims against directors of medical device company.
- Represented former shareholders of the nation’s largest, privately-held chain of yoga studios in connection with defense of indemnification claims brought by private equity sponsor.
- Obtained multiple, favorable declaratory statements on unsettled regulatory issues from Florida agencies, including Board of Medicine and Agency for Health Care Administration (AHCA).
- Assisted private equity-sponsored assisted living facility platform in navigating defense and settlement of competitor’s claims and contemporaneous sale of portfolio companies to strategic acquirer.
- Represented publicly-traded health care entities in government investigations under the False Claims Act.
- Defeated motion for preliminary injunction brought by former physician-employee of physician practice that had been acquired by private-equity sponsored ophthalmology platform.
- Secured dismissal of breach of contract and fraud claims brought by internet marketing company against behavioral health platform.
- Counsel to NASDAQ-traded operator of surgical facilities and ancillary services in connection with defense of civil subpoenas and protection of trade secret and confidential information.
- Obtained favorable resolution of post-acquisition earnout dispute arising from sale of family-owned clinical laboratory to publicly-traded company.
- Obtained substantial monetary verdict for Chilean client in connection with claims for breach of a letter agreement*
- Represented a hospital client in the appeal of an arbitration award before the Florida Supreme Court*
- Obtained $13.5M settlement in arbitration for a minority member of a closely-held limited liability company following attempted “squeeze out” by majority members*
