Overview
Riley Orloff focuses his practice on matters concerning corporate finance, restructuring and private equity. He represents private equity sponsors, alternative investment funds, banks, direct lenders, and other parties in structuring, documenting, and negotiating financing transactions, including syndicated credit facilities, debtor-in-possession financings, asset-based loans, acquisition financings, venture capital investments, dividend recapitalizations and subordinated debt, and mezzanine transactions. He is also a member of the Firm’s Technology Committee.
Prior to joining McDermott, Riley clerked for the Honorable Carla E. Craig, chief bankruptcy judge (now retired) of the US Bankruptcy Court for the Eastern District of New York, and the Honorable Cecelia G. Morris, chief bankruptcy judge of the Bankruptcy Court for the Southern District of New York.

- Represented a variety of private equity sponsors and their portfolio companies in connection with the negotiation of debt commitment letters and credit facilities for the purposes of funding acquisitions, including senior secured credit facilities, secured second-lien credit facilities, bridge debt facilities and mezzanine debt facilities
- Represented various banks and direct lenders in connection with the negotiation of debt commitment letters, term sheets and credit facilities for the purposes of providing debt financing to private equity and venture capital-backed portfolio companies
- Represented H.I.G. Capital in acquisitions and follow-on financing matters for various portfolio companies, including Cardinal Logistics and DazPak
- Represented WindRose Health Investors, LLC in acquisitions and follow-on financing matters for various portfolio companies, including Bluestone Physician Services, Caregiver, Kolmac Clinic, Lykan Bioscience, RevHealth, Trumpet Behavioral Health and Workplace Options
- Represented the administrative agent and lead lender in connection with the negotiation and documentation of a $190 million senior secured credit facility to finance a private equity fund’s acquisition of a Texas-based home health, hospice and rehabilitation service company with operations in Texas, Oklahoma and Kansas
- Represented the administrative agent and lead lender in connection with the negotiation and documentation of a $152.5 million senior secured credit facility to finance the acquisition and ongoing operations of the owner and operator of several veterinary hospitals in the Mid-Atlantic and New England regions
- Represented the administrative agent and lead lender in connection with the negotiation and documentation of a $119 million senior secured credit facility to capitalize a single asset continuation fund backing a leading global clinical research organization
- Represented a private credit fund in connection with the negotiation and documentation of an $85 million senior secured credit facility to finance a private equity fund’s acquisition of a health information and technology company
- Represented Quorum Health Corporation, an operator of general acute care hospitals, in its prepackaged chapter 11 cases, which involved the restructuring of approximately $1.5 billion of funded debt and a $100 million debtor-in-possession financing facility. The restructuring ultimately resulted in the successful deleveraging of Quorum’s balance sheet by approximately $500 million. This work was awarded the Pre-Pack Restructuring of the Year – Large Markets recognition as part of Global M&A Network’s 13th Annual Turnaround Atlas Awards
- Represented Output Services Group, Inc. (OSG), a leading provider of print and digital payment solutions, in its prepackaged chapter 11 cases, which involved the restructuring of approximately $750 million of funded debt and a $50 million debtor-in-possession financing facility. The successful restructuring took place pursuant to a restructuring support agreement signed by approximately 87% of OSG’s prepetition first lien lenders that eliminated approximately $550 million of their funded debt obligations
- Represented Gulf Coast Health Care, LLC, an operator of 28 skilled nursing facilities, in its chapter 11 cases, including in connection with its $25 million debtor-in-possession financing facility
- Represented Furie Operating Alaska, an upstream oil and gas producer, in its chapter 11 cases, including in connection with its $25 million debtor-in-possession financing facility
- Represented firearms distributor United Sporting Companies, Inc. in its chapter 11 cases, including in connection with its $15 million debtor-in-possession financing facility
