Overview
International law firm McDermott Will & Emery represented AdTheorent Holding Company, Inc. (AdTheorent), a machine learning pioneer in digital advertising, in its sale to Cadent, LLC (Cadent), a leading platform connecting the TV advertising ecosystem.
AdTheorent was acquired at $3.21 per share in an all-cash transaction with a value of approximately $324 million. AdTheorent’s common stock has ceased trading and can no longer trade in any other public market.
McDermott represented AdTheorent in its sale to H.I.G. Growth Partners in 2017, and AdTheorent later went public in 2021 through a business combination with MCAP Acquisition Corporation.
The McDermott team was led by Tom Conaghan, David Lipkin and Daniel McGuire with substantial assistance from Charles Darantiere.
