Kelly B. Holloway focuses her practice on executive compensation matters, representing private equity firms and their portfolio companies, public companies, individual executives and management teams in a broad range of corporate and commercial transactions. She also represents a range of clients in mergers, acquisitions, carve-outs and other business transactions across various industries. Her experience includes providing advice on the design, negotiation, drafting and implementation of executive employment agreements, severance arrangements, and equity and cash-based compensation programs and on the applicable tax, securities law, corporate governance and disclosure implications of such arrangements.
