Understanding How the New HSR Regime Impacts Your Business

Overview

The Federal Trade Commission (FTC) published new final rules that significantly alter the US premerger notification filing process under the Hart-Scott-Rodino (HSR) Act. The rules now require merging parties to provide substantially more information and documentation in their HSR filings. Likely effective in mid-January 2025, these changes will impact any company involved in deals, making it crucial to understand the new filing regime and its implications.

Join our experienced antitrust lawyers for a comprehensive introduction to the new HSR filing rules. The end of the program will feature a Q&A with a former FTC lawyer who will share his insider’s perspective from six years with the agency.

This webinar is essential for legal professionals, compliance officers, and business executives involved in mergers and acquisitions so they can prepare their companies for the novel requirements.

Discussion topics will include:

  • Key changes to the US premerger notification filing process
  • Compliance strategies for the new filing regime
  • Transaction process changes to promote merger review success

Minimum continuing legal education (MCLE) credit is pending in California, Illinois and New York. A Multi-Jurisdiction Certificate of Attendance will be made available to participants requesting MCLE credit in all other jurisdictions. To be eligible to earn a CLE certificate, you must attend the entire session. Credit for partial attendance will not be provided.
