Overview
Amanda Jester works with healthcare clients and investors to structure and execute sophisticated transactions, focusing on driving innovation while navigating the complexities of federal and state regulatory issues. She works with organizations across the United States, with a particular emphasis on the Texas market. Amanda’s focus on the southern healthcare market allows her to counsel clients—both local and national—on the nuances of working in this rapidly growing healthcare hub. Amanda is a leader for the Firm’s physician practice management (PPM) team and partner-in-charge of the Healthcare Practice Group in Texas.
Amanda has deep experience working with physician practices, private equity funds, hospitals, ambulatory surgery centers and specialized service providers. She helps these entities execute mergers, acquisitions, joint ventures and other collaborations in an increasingly competitive landscape. Her focus on transactions involving physician practices gives her nuanced insights into the complex physician integration and compensation issues—among other factors unique to these deals—that can complicate the deal process for stakeholders outside this transactions subsector.
Amanda’s experience in specialized healthcare services, including fertility, women’s health, gastroenterology, dermatology, behavioral health, urology, pediatrics, urgent care, emergency services, post-acute care, dental and hospital-based medicine, makes her a valuable asset to investors as they navigate due diligence and the unique regulatory issues facing each area. Amanda also works closely with the Firm’s managed care team to advise PPM clients on strategies related to value-based care. She draws on her deep relationships in the private equity space to support her clients as they seek out strategic relationships to advance their care delivery goals.

- Advised a national PPM company on multiple partnerships with physician practices across the country, ranging in size from two physicians to more than 80 physicians
- Advised Urology America (formerly Urology Austin) in its partnership with Gauge Capital
- Advised the physician board members of Ovation Fertility in the company’s strategic combination with US Fertility, creating the leading fertility platform in the United States
- Served as regulatory counsel for OMERS, the defined benefit pension plan for municipal employees in the Province of Ontario, Canada, in its partnership with Gastro Health
- Served as regulatory counsel for Harvest Partners in its acquisition of Affordable Care, which services more than 350 dental practices in 41 states
- Advised multiple emergency medicine, anesthesia and radiology groups in transactions with strategic partners ranging in value from $10 million to $350 million*
- Advised a private equity company as regulatory counsel on its acquisition of a network of dental clinics in Texas*
- Advised a private equity company as regulatory counsel on its acquisition of a large urgent care services provider in Florida*
