Overview
McDermott Will & Emery has advised Andera Partners, a leading private equity and mezzanine sponsorless player through its Andera Acto activity, on the acquisition from Henkel Group, a leading solution provider for adhesive technologies, beauty, laundry and homecare, of a portfolio of iconic brands in cleaning products space. Together, these brands represent more than 500 years of know-how.
This sponsorless transaction allows the management team, led by Richard Lerosey and Daniel Chassagnon, to hold a majority stake in Société Héritage, created in conjunction with this acquisition.
McDermott was selected by the management team to assist Andera Partners in this venture, and the McDermott team comprised:
- Pierre-Arnoux Mayoly, Partner on financing aspects;
- Grégoire Andrieux, Managing Partner, on corporate aspects; and
- Côme de Saint -Vincent, Counsel, on tax aspects.
