Overview
McDermott Will & Emery has advised the Passman Group, leader in network management and digital solutions for the hospitality, healthcare, military and general service sectors, on its acquisition of Osmozis (Euronext Growth), a specialist in the digital transformation of campsites and vacation homes in Europe.
The Passman Group and certain shareholders of Osmozis, including its founders, have entered into exclusive negotiations with a view to the acquisition by the Passman Group of several blocks of shares representing over 88% of the Company’s share capital, followed by the filing of a simplified tender offer for the remaining shares issued by the Company.
The transaction is expected to be completed by the end of July 2024.
McDermott advises Groupe Passman with a team comprised of :
- Grégoire Andrieux, Bertrand Delafaye, Herschel Guez – partners as well as Louis Feuillet, Henri Nalbandyan and Aïda Fraikech Bouhalka on the corporate aspects of the transaction
- Côme de Saint Vincent (counsel) and Paul-Henri de Laguiche on tax aspects
- Shirin Deyhim (partner) and Elisabeth Amzallag on financing
