McDermott Will & Emery advises F&B – Food and Beverage Services GmbH (FBS) on all antitrust law aspects of the planned acquisition of a majority stake in GEVA GmbH & Co. KG (GEVA). FBS is a joint venture between Dr. Oetker/Radeberger Group and Transgourmet Group.
With more than 300 companies in its food, beer and non-alcoholic beverages, sparkling wine, wine and spirits divisions, Dr. Oetker Group is one of the largest family-owned businesses in Germany. Part of Dr. Oetker Group is Radeberger Group as the largest private brewery group (brands “Radeberger”, “Schöfferhofer”, “Jever”, “Clausthaler” and many others), which is also one of the largest beverage wholesalers in Germany.
The Transgourmet Group belongs to the Swiss Coop Group and is a leading multi-channel provider of cash & carry and wholesale delivery services for customers from trades like restaurants, hotels, workplace catering, social and healthcare facilities, retail and other businesses.
GEVA is one of the leading beverage wholesalers in Germany, offering a broad range of procurement and marketing-oriented services, in particular in the areas of central settlement, dropshipment clearing/payments and national marketing.
A McDermott antitrust team led by partner Christian Krohs and including Carina Kant and Anja Bertrand advises and represents FBS and its parent companies on all aspects of antitrust and merger control law for the envisaged transaction.
A team of Pinsent Masons advised on all other transaction-related legal issues.
