Munich, August 28, 2024 – With a team led by Holger Ebersberger and Hanno M. Witt McDermott Will & Emery has advised NORD Holding Unternehmensbeteiligungsgesellschaft mbH (NORD Holding) and its fund Deutsche Mittelstandsholding für Industriebeteiligung II GmbH & Co. KG on the sale of their majority stake in Dr. Födisch Umweltmesstechnik AG to the listed company ABB Ltd. (ABB).
Switzerland-based ABB, which specializes in electrification and automation, will acquire all shares, subject to regulatory approvals. The transaction is expected to close before the end of 2024.
The Dr Födisch Group is a leading group of companies specializing in environmental, process, and analysis technology, with a focus on Continuous Emission Monitoring Systems (CEMS). Headquartered in Markranstädt, Germany and with additional facilities across Germany, the Netherlands, and China, Födisch Group provides solutions for addressing environmental, inspection and certification challenges across a wide rage of industries.
NORD Holding is a private equity and asset management company with EUR 4 billion assets under management. The focus of NORD Holding’s direct business is on the structuring and financing of corporate succession models, the acquisition of group parts/subsidiaries and the expansion financing of medium-sized companies. The fund investment division focuses on the micro and small cap segment of mid-cap-oriented private equity funds in Europe.
McDermott has advised NORD Holding and its portfolio companies on several transactions, most recently on the acquisition of powerdata GmbH by the German IT consultancy CONUTI Holding and on the acquisition of the nutritional supplements manufacturer ABJ alive.
