Chicago/Düsseldorf, 30. January 2025 – McDermott Will & Emery has advised RailCube, a global rail freight software provider backed by Main Capital Partners, on its acquisition of US-based software provider Spark TS.

RailCube is expanding its presence in the North American railroad market by joining forces with Spark TS. The acquisition marks RailCube’s first add-on acquisition since the start of its strategic partnership with Main Capital Partners in 2023.

RailCube, founded in 2011, is a leading provider of ERP software for the rail market. The company offers an ERP solution for planners and office staff as well as a mobile application for train drivers in a comprehensive suite that supports railroad companies with process automation across all business areas.

Spark TS, established in 2016 and headquartered in St. Paul, Minnesota, provides Rail Tasker™, a software for workforce safety, compliance, and drug and alcohol testing. The company serves approx. 100 railroad companies, including Enterprise Class I railroads, railroad holding companies and smaller mass transit operators in the U.S.

Main Capital Partners is a leading software investor in the DACH region, the Benelux countries, the Nordic countries and the United States, with approximately €6 billion in assets under management and an active portfolio of more than 50 software groups.
