International law firm McDermott Will & Emery represented Summit Health-CityMD, a leading provider of primary, specialty and urgent care, in its sale to VillageMD, a leading, national provider of value-based primary care services. The transaction is valued at approximately $8.9 billion with investments from Walgreens Boots Alliance, Inc. and Evernorth, a subsidiary of Cigna Corporation.
The combined company will become one of the largest independent provider groups in the US and will create a multi-payor platform that will deliver quality, affordable care for all patients.
McDermott represented Summit Health-CityMD as healthcare regulatory counsel in the transaction. The McDermott team was led by Joel Rush and Joe Parise and included Chelsea Rutherford, Dawn Helak, Ryan Higgins, Daphne Trotter, Monica Wallace, Laura McLane, Tony Maida and Jonathan Salm.
