Leading private equity law firm McDermott Will & Emery represented WindRose Health Investors, LLC, a healthcare focused private equity fund, in connection with its equity recapitalization of Veristat Group Inc. Veristat is a provider of contract services to pharmaceutical, biotechnology and medical device companies, including biostatistics, biostatistical programming, data management, medical writing, medical device, clinical monitoring, project management, pharmacovigilance and regulatory advisory services to support the submission of marketing applications to the United States Food and Drug Administration, European Medicines Agency and other international regulatory bodies. This transaction was completed on March 31, 2021. Financial terms of the transaction were not disclosed.
McDermott acted as legal counsel to WindRose as it partnered with Veristat’s executive team to recapitalize the business and to provide additional capital to support future growth. WindRose’s investment will enable Veristat to accelerate its next phase of expansion, drawing on WindRose’s deep network of relationships and extensive experience investing in healthcare and outsourced pharmaceutical services companies. Veristat’s management will continue to own a significant minority position in the Company going forward.
McDermott also represented WindRose in connection with the structuring, negotiation, documentation and execution of a credit facility with MidCap Financial Trust as administrative agent.
