International law firm McDermott Will & Emery welcomes Partners Ben Kozinn and Lauren Troeller to its Transactions Practice Group in New York. Having worked together for several years, Ben and Lauren bring tremendous relationships with private equity and investment firms and extensive experience advising on complex transactions shaping related markets.
“Ben and Lauren are highly skilled dealmakers for prominent private equity and investment firms who will help drive growth for our power alley private equity practice,” said Harris Siskind, global head of McDermott’s Transactions Practice Group. “Ben in particular has walked in our clients’ shoes, having held previous in-house roles at Goldman Sachs and Claren Road Asset Management.”
Ben advises clients on middle-market buyouts, take-private transactions, carve-out transactions minority stakes, and preferred equity investments. He also guides private equity managers through complicated leveraged buyout transactions across various industries, including technology and data centers, industrial services, business services, logistics, and investment advisory services. On the investment funds side, he counsels advisers and investors on fund formation, structuring, compensation, and regulatory and compliance issues, including on the use of alternative data. Drawing on his experience in structuring, seeding arrangements, managed accounts, and funds-of-one, Ben also advises new managers seeking capital in the highly competitive startup market.

Lauren advises private equity sponsors and their portfolio companies, private equity funds, financial institutions, direct lenders, and public and private companies in complex business transactions. She handles a wide variety of deal structures, such as leveraged buyouts, carve-outs, distressed acquisitions, take-private transactions, and joint ventures. She also advises clients on corporate and governance matters. She has extensive experience in several key industries, including technology and software, industrial services, consumer products, business services, and manufacturing.
Ben and Lauren follow the recent hire of Allison Scher Bernbach, a private equity fund regulatory lawyer based in New York.
