Overview
Jason Krieser is the co-head of the Firm’s Technology & Outsourcing Practice, and the office managing partner for Dallas. He advises clients on all aspects of technology transactions, outsourcing matters, telecommunications and other complex commercial contracts, including artificial intelligence, (AI), digital health, telecommunications and robotic process automation arrangements. He is an internationally recognized advisor on outsourcing matters, including information technology (IT), business process (finance and accounting, human resources, logistics and facilities management) and offshore issues. He also handles technology development and licensing matters, joint ventures, strategic alliances, manufacturing agreements, key supply and distribution agreements, enterprise blockchain applications, other complex service agreements, Internet of Things (IoT) and e-commerce matters. Jason also regularly works on digital health matters, data licensing and strategy issues and mobile applications. He has handled cloud-computing transactions for the past 20 years, including software as a service (SaaS), infrastructure as a service (IaaS) and platform as a service (PaaS) transactions.
Jason is the co-author of a legal treatise on outsourcing law titled Outsourcing: Law and Business published by Law Journal Press (the treatise publishing arm of American Lawyer Media). This treatise gives detailed treatment to all material legal and business issues associated with outsourcing transactions. The form of master outsourcing services agreement developed by Jason and his co-author, and featured in the treatise, is publicly available and widely used in the outsourcing industry. Outsourcing
- Represented Nokia Corporation in a global IT infrastructure outsourcing services agreement with Hewlett-Packard
- Represented Monsanto in three major IT outsourcing transactions including (1) a global data center transaction, (2) a helpdesk services transaction and (3) an applications development and maintenance transaction
- Represented TXU Electric in an applications, development and maintenance outsourcing services agreement with Accenture
- Represented an information technology service provider in the negotiation of an information technology outsourcing services agreement with the United States Federal Reserve Bank
- Represented a leading US defense contractor in a full-scope outsourcing of the company’s information technology functions to Computer Sciences Corporation
- Represented the leading aircraft container management company (a subsidiary of a leading global airline) in connection with a logistics outsourcing services agreement; our client will manage the shipment of containers with passenger luggage and other cargo for another leading global airline
- Represented Assurant, a Fortune 250 insurance company, in a business process outsourcing agreement for cash management and general ledger services with EXL Technologies
- Represented John Muir in negotiating its outsourcing agreement with Optum to manage key nonclinical functions, including information technology, revenue cycle management, analytics, purchasing and claims processing
- Represented an East Coast hospital and health system client in outsourcing of data center, storage, network, end-user support and security functions
- Represented Steward Health Care in various revenue cycle management transactions
- Represented outsourcing service provider in information technology outsourcing transaction with customer in the insurance industry.
Technology Transactions
- Represented Amadeus, one of the top ten travel technology companies in the world, in an agreement with Marriott International to deploy the Amadeus Central Reservations System to modernize Marriott’s reservation infrastructure in the coming years
- Represented Spirit AeroSystems in SaaS cloud-computing agreements, and other technology transactions matters; Spirit is the world’s largest, first-tier aerostructures manufacturer and a spin-off of Boeing that manufactures and assembles aerospace products from Boeing, Airbus, Gulfstream, Bombardier and Sikorsky Helicopter
- Represented BBVA Compass Bank in a software development transaction with Accenture for a new core banking software platform to run all BBVA Compass’ banking matters, and all of BBVA’s affiliate banks, in North America
- Advised The Procter & Gamble Company in its agreements with Teva Pharmaceutical Industries to create a partnership in consumer health care by bringing together both companies’ existing over-the-counter medicines and complementary manufacturing, distribution, and sales and marketing capabilities
- Advised Micron Technology in the formation of IM Flash Technologies, a $5.2 billion joint venture with Intel Corporation
- Represented Silver Spring Networks in manufacturing and supply agreements with retail electricity providers for smart grid electricity meters, related communications equipment and the licensing of cloud-based software
- Represented TriZetto Corporation (now a division of Cognizant) in software development and licensing transactions relating to TriZetto’s Facets software, which supports health care claim processing for more than 180 million lives in the United States
- Represented a leading owner and operating of proton therapy cancer treatment centers in a joint venture with a leading proton therapy equipment manufacturer
- Represented Nuance Communications in a Microsoft Azure artificial intelligence (“AI”) agreement in support of a natural language understanding collaboration that will power the ‘exam room of the future’. The strategic partnership between Nuance and Microsoft seeks to enable the clinical experience between doctor and patient with AI completing administrative tasks on behalf of the physician
- Represented numerous clients in licenses and implementation projects for robotic process automation (“RPA”) software as well as governance of enterprise RPA programs
Telecommunications
- Represented Olympia Entertainment Events Center, LLC and Olympia Development of Michigan, LLC, entities used by the Ilitch family for their downtown Detroit development known as The District Detroit, in a telecommunications and sponsorship deal with Comcast Cable Communications, LLC. Under this contract, Comcast will provide dark fiber, Ethernet, Wi-Fi, voice, and video services to The District Detroit and will receive various sponsorship and marketing rights in The District Detroit and rights to use a suite in Little Caesars Arena
- Represented Orange Business Services, a US-based subsidiary of France Telecom, in a telecom network management services agreement with AT&T
- Represented Sprint Nextel Corporation in its acquisition of next-generation wireless infrastructure equipment to upgrade Sprint’s nationwide wireless network; the transaction involved the purchase of up to $13 billion of equipment and implementation services from Samsung, Alcatel-Lucent and Ericsson, and the project also includes the purchase of multi-modal base stations capable of supporting 4G long-term evolution (LTE) wireless technologies
- Represented MFS Communications in marine route survey agreements and undersea communications cable construction and services agreements with various third parties for submarine cables and signaling equipment between Europe and the United States; also represented MFS onsite in Europe for six months during right-of-way acquisition and construction of metropolitan fiber-optic networks in major European cities
- Represented Level 3 Communications in billions of dollars of network construction, telecom equipment, carrier-to-carrier and customer transactions
