Overview
Alissa Cardillo counsels private fund clients on the structuring, formation and operation of investment funds (with an emphasis on US and non-US hedge funds, private equity funds, special purpose vehicles and funds of funds). Alissa regularly assists on the launching or restructuring of private equity and hedge fund vehicles. She drafts, revises and updates fund documentation for private fund clients, including subscription agreements, offering memoranda, investment management agreements, limited partnership agreements (LPAs), administration agreements, operating agreements and side letters. Alissa also advises private investment funds on legal, regulatory and compliance issues faced by their sponsors.
While in law school, Alissa was the managing editor for the Brooklyn Journal of Corporate, Financial & Commercial Law.
