Overview
Allison Perlman focuses her practice on transactional matters in the energy industry. Allison has experience representing institutional investors in domestic and cross-border private placement financing transactions and developers in wind and solar projects throughout the United States. She also has a background in infrastructure and has represented governmental authorities, consortiums, developers, contractors and lenders in all aspects of large-scale infrastructure and energy projects across North America.
Results
- Represented Doral Renewables and its affiliated companies in a series of complex and layered financing transactions aggregating $685 million for the development, construction and operation of the 400MW Mammoth North solar project located in Starke County, Indiana, the first of three phases of what will become the 1.3GW Mammoth Solar Farm, the largest integrated photovoltaic solar electricity generating facility in the US
- Represented a prominent sponsor and its affiliated companies in the negotiation and documentation of a construction loan facility and a letter of credit facility needed for the development of an Illinois-based 259.8-megawatt wind project
- Represented institutional investors in connection with the AUD$7 billion North East Link PPP project to design, build finance, operate and maintain a 11 KM tollway in Melbourne Australia*
- Represented institutional investors in connection with the DC Street Lighting PPP Project to design, build, finance and maintain an improved street light network in the District of Columbia*
- Represented institutional investors in connection with a £180 million senior note offering of a Belgian public limited liability company engaged in the healthcare real estate business*
- Represented institutional investors in connection with a US$225 million senior secured note offering of a Connecticut health services nonprofit corporation*
- Represented Boston AFC 2.0 OpCo (Cubic | John Laing Consortium) in the US$440 million refinancing of the Automated Fare Collection System 2.0 PPP project to design, install, finance, operate and maintain a new automated, account-based open fare payment system for the Massachusetts Bay Transportation Authority*
- Represented SWIFT, a partnership of rural and regional municipal groups, as the public authority for the C$288 million Southwestern Integrated Fibre Technology PPP project to design, build, finance, operate and maintain an ultra-high speed fibre optic regional broadband network, covering over 350 communities in South Western Ontario*
- Represented Independent Electricity System Operator (IESO) of Ontario, on behalf of the Ministry of Energy, in connection with competitive procurement, development and hosting of the smart meter reading system implemented in Ontario*
- Represented Wataynikaneyap Power, a partnership between 24 First Nation Communities and Fortis Inc., in ongoing advice to the partnership on all commercial and regulatory matters related to the development, construction, financing and operation of the C$1.9 billion Wataynikaneyap Transmission Project, a 1,725 km transmission line in northwestern Ontario, one of the largest First Nations-led infrastructure projects in Canada’s history and a project that won IJGlobal’s 2019 North America Transmission Deal of the Year*
- Represented a prominent sponsor and its affiliated companies in the negotiation and documentation of a US$31.9 million term loan facility and a US$1.6 million letter of credit facility provided for the development of a 168-megawatt direct current utility-scale facility in Texas
