Overview
Nathan E. Barnett focuses his practice on mergers and acquisitions, private equity, venture capital, corporate finance and securities, and Delaware corporate and alternative entity laws. He also advises boards of directors, special committees and equity holders on fiduciary duties and other corporate governance matters related to Delaware corporations, limited partnerships, limited liability companies and statutory trusts, including in connection with conflict transactions. He has experience advising startups, Fortune 500 companies and PEI 300 sponsors in connection with the formation, operation, governance, reorganization and dissolution of business entities.
Nathan frequently serves as special Delaware counsel in connection with mergers and acquisitions, private placements and public offerings involving Delaware corporations and alternative entities. He routinely counsels clients worldwide with respect to transactions and issues under Delaware law and regularly delivers Delaware legal opinions, including with respect to private investment funds, special purpose entities and deal closings.
While in law school, Nathan was a contributor to the Delaware Journal of Corporate Law and was a Wolcott Fellow to the Honorable Randy J. Holland of the Supreme Court of the State of Delaware.
