Overview
Matthew Chen focuses his practice on UK and international private equity investments and buyout transactions, acting for institutions, private family offices, and portfolio companies. Matthew advises corporate clients on cross-border mergers and acquisitions, joint ventures and corporate reorganisations. He also advises start-up and growth stage companies on structuring and investment rounds.
Matthew represents clients from a broad array of industries, including companies in the food and beverage, financial services, industrial gases, and chemicals sectors.
Results
- Represented Praxair, Inc. in the USD 3.3 billion divestment of North American and South American assets by Praxair, Inc. and Linde AG to Messer and CVC Capital Partners Fund VII. The divestments were subject to regulatory approvals and required for the consummation of the USD 90 billion Praxair-Linde merger
- Advised on the EUR 5 billion divestment of the majority of Praxair’s businesses in Europe to Taiyo Nippon Sanso Corporation, a company listed on the Tokyo Stock Exchange and majority owned by Mitsubishi Chemical Holdings Corporation
- Advised Tana Africa Capital and Plexus Investments on the USD 532 million sale of interests in the Promasidor group – a pan African foods business – to Ajinomoto of Japan
- Represented KP Snacks Limited in its acquisition of Tangerine Confectionary Limited’s popcorn business, Butterkist Limited, the number one branded popcorn in the United Kingdom
- Acted for various NYSE listed companies on their corporate reorganizations
- Acted for a leading US mid-market private equity firm on the bolt on acquisition of a leading manufacturer of specialty chemicals
- Acted for UHS, Inc., on its USD 335 million acquisition of Cygnet Healthcare by way of a takeover offer and subsequent squeeze out (and subsequent bids and bolt on acquisitions)
- Acted for a leading US mid-market private equity firm on the acquisition of an Irish educational publisher by its European buyout fund
