Overview
Charles Darantiere advises public companies on a broad range of M&A and capital markets transactions, including offerings of equity and debt securities, and de-SPAC transactions.
Charles also advises US public companies and foreign private issuers on securities law and stock exchange compliance matters, including the preparation of proxy statements, Forms 10-K, 20-F, 10-Q, 8-K and 6-K, beneficial ownership reports and other reporting forms and schedules. Additionally, Charles has assisted several public companies in complying with cybersecurity incident reporting obligations and preparing cybersecurity risk management, strategy and governance disclosures.
While in law school, Charles served as a senior articles editor for the Journal of International & Comparative Law.
