Overview
Jay Greathouse represents for-profit and non-profit healthcare organizations, as well as healthcare industry investors, in their most significant transactions. He works with hospitals, physician groups, ambulatory surgery centers, portfolio companies and private equity firms to execute complex joint ventures, cross-border collaborations and transactions, acquisitions and divestitures. Jay’s experience on both sides of the table enables him to maximize outcomes for his clients and facilitate an efficient dealmaking process for all parties.
Jay also provides counsel on corporate governance matters for both established and early-stage healthcare companies, advising clients on shareholder disputes, fiduciary duty issues and other challenges that can arise in the boardroom.
Deeply connected to the Texas healthcare and life sciences community, Jay regularly works with start-ups in Austin and San Antonio to secure funding and bring their innovations to market. Examples include working with a medical device company in its formation, venture capital financing and sale to a publicly traded company for $75 million and assisting a venture-backed medical device company in its $45 million sale to a publicly traded strategic buyer.
In addition, Jay works with companies and equity owners in the cannabis industry as they pursue domestic and international growth opportunities, acquisitions, exits and other business strategies.
Results
- Represented Erlanger Health System in its evaluation of future options and the passage of a new state law authorizing the hospital to change from a governmental entity to a private, not-for-profit hospital system for financial and operational success*
