Overview
Jerônimo Soares de Sousa focuses his practice on complex mergers and acquisitions, both domestic and cross-border, throughout Latin America (with a special focus in Brazil). He also advises on domestic and cross-border project finance and corporate lending transactions, particularly in energy, infrastructure and industrials.
Before joining McDermott, Jerônimo worked for several years as a senior counsel at a Brazilian bank where he led more than 50 projects in infrastructure, some of them receiving international accolades due to their complexity and relevance to the advancement of Brazil’s infrastructure. He also worked in leading law firms in both New York and Washington, DC.
At McDermott, Jerônimo serves as a valuable member of our Brazil Desk focused on assisting Brazilian clients expand overseas and US clients enter the Brazil market.
Results
- Represented Enfinity Global Inc. in its sale of a 40% minority stake of its 400 MW U.S. operating portfolio, consisting of 28 operational solar PV power plants located in California, North Carolina and Idaho, to Japanese utility Kyushu Electric Power Co. Inc.
- Represented a leading solar and storage developer, in connection with a tax equity investment from a leading tax equity investor, in a distributed generation portfolio of commercial-scale and community solar projects being developed throughout the United States
- Represented American Electric Power Company, Inc., one of the largest investor-owned electric public utility holding companies in the United States, in negotiating the purchase agreement for the Mayapple Solar Project, a 224 MW solar project being developed by an affiliate of LightSource bp in Pulaski County, Indiana
- Represented Argo Infrastructure Partners LP in its acquisition of a 50% interest in a holding company for various subsidiaries owning a 378MW portfolio of four hydro-powered electricity generating and storage facilities located in Tennessee and North Carolina, as well as an 85-mile transmission line connecting the hydro-power assets to the Tennessee Valley Authority transmission system
- Represented a leading Chilean banking institution in obtaining a $85.5 million syndicated senior credit facility. This is their first syndicated loan facility in the international banking market
- Represented Grupo Kuo, S.A.B. de C.V. (Grupo Kuo), a Mexico-based industrial and commercial global holding company, and its affiliates, in obtaining a $300 million revolving credit facility from a club of leading international commercial banks
- Represented Banco Santander, S.A., New York Branch (“Santander”) in connection with the structuring, negotiation and documentation of the omnibus amendment, extension and reaffirmation of a $24 million senior secured term loan facility provided to Transportadora de Gas del Sur S.A. (“TGS”) and its affiliate Telcosur S.A. (“Telcosur”)
- Represented Enfinity Global Inc. in the acquisition and financing of a portfolio of 28 solar projects in the US
- Represented Scout Clean Energy in its acquisition of a 199MW wind farm project located in the Oklahoma
- Represented NiSource in the negotiation of a tax equity commitment from USBank for the Indiana Crossroads Solar Project
- Represented Pine Gate Renewables in the financing for the Eastover hybrid solar project in South Carolina
- Represented a joint venture between Scout Clean Energy and Elawan Energy in the agreements to simultaneously purchase the tax equity Class A interests in PC1 Holdco and cause PC1 Holdco to sell the Project Company that owns the Persimmon Creek 1 wind farm in Western Oklahoma
- Represented Invenergy Renewables in the agreement to sell an 80% interest in the 250 MW Maple Flats Solar Farm to an affiliate of the WEC Energy Group
- Represented Lennar Corporation, a Fortune 500 homebuilder, in negotiating its tax equity commitment to fund a portfolio of residential rooftop solar projects being developed by affiliates of Sunnova Energy International Inc.
- Represented a subsidiary of SK ecoplant Co., Ltd. (SK), an affiliate of South Korean conglomerate SK Group that focuses on eco-friendly engineering and infrastructure projects, in negotiating a tax equity commitment from an affiliate of Bank of America, N.A. to fund a portfolio of solid oxide fuel cell projects being developed by SK at data centers, manufacturing facilities and healthcare facilities in various locations across the United States
- Represented Novel Energy Solutions, L.L.C. in its acquisition of Titlow Garden LLC
- Represented Novel Energy Solutions, L.L.C. in its acquisition of USS Togus Solar LLC from US Solar DG Development LLC
- Represented a DC solar based company in connection with a tax equity investment in a community solar project in Minnesota
- Represented Destillers United Group SL.(Diplomation Rum) in the sale of its business to Brown-Forman
- Represented Hidden Harbor Capital Partners in its acquisition financing of Dayco LLC, with collaterals in the US, Mexico, Netherlands, Poland and Italy
- Represented H.I.G. Capital, LLC, a private equity firm, in its acquisition of Celerion Holdings Inc.
- Represented Pasithea Therapeutics Corp. in its acquisition of AlloMek Therapeutics, LLC
- Represented Pasithea Therapeutics Corp. in its acquisition of Alpha 5, LLC.
- Represented Mullen Automotive, Inc. (NASDAQ: MULN), an emerging electric vehicle (EV) manufacturer, in its acquisition of a controlling interest in Bollinger Motors, an EV truck innovator

- Represented Mizuho Bank Ltd., as administrative agent, in connection with amendments to a total of $9,500,000,000 credit agreements related to three credit facilities of the Mexican state-owned oil company. The amendments were signed to adjust the benchmark interest rate language according to the phasing out process of LIBOR*
