Overview
Matthew King’s practice encompasses a broad range of global and domestic technology and outsourcing transactions, including information technology and business process outsourcing, software development and maintenance, software licensing, and other technology-related matters.
Matthew regularly negotiates intellectual property and information technology complex transition services agreements and technology-related joint ventures and strategic alliances. As a legal and business thought leader in the industry, he also represents clients on issues arising in connection with complex international outsourcing transactions, including the outsourcing of numerous IT functions, including infrastructure, applications development and maintenance, end-user computing, help desk and network operations. His business processes outsourcing experience includes outsourcing the middle and back office financial services processes, facility management functions, claims processing, human resources, payroll processing, finance and accounting functions and procurement.
Prior to earning his law degree, Matthew served six years as a naval officer and completed deployments in support of Operations Enduring Freedom and Iraqi Freedom.
Results
- Represented Marriott in a variety of ITO transactions, including Marriott’s procurement of infrastructure and ADM support from six major service providers and agreements that will govern the replacement of their internal reservations and property management systems with SaaS products, with deal values surpassing $1.5 billion.
- Represented Hertz in a variety of SaaS transactions, including payment processing, and managed security and professional services opposite four vendors, as well as an IT transformation initiative.
- Represented various investment fund companies in their procurement of a variety of middle office and back-office services from leading fund administration services providers, including Bank of New York Mellon.
- Represented a multinational managed healthcare and insurance company through its procurement of certain print and mailing services that support its central business operations, including negotiating master agreements with Fiserv Inc. and R.R. Donnelley & Sons Company.
- Advised a corporate real estate group in its joint venture with Bon Appetit to develop and run a restaurant and event space at a corporate complex, including negotiating applicable food services agreements.
- Represented a global security company regarding its engagement of a payment processor, including negotiating a software as a service agreement.
- Advised Hewlett Packard, Inc. and its affiliates in a series of transactions related to its corporate acquisition and divestiture strategy, including in connection with various service agreements with DXC and Infosys, and their digital transformation.
- Represented a major utility company in its IT transformation involving multiple service providers.
- Represented a major manufacturing and shipping company in an ITO agreement and related statement of work with Hexaware and advised regarding their renegotiation of their agreement with WIPRO.
- Represented a global automotive company in several transactions, including a joint venture with a major technology company related to connected vehicle technology.
