Overview
Kathy Schumacher focuses her practice on the representation of private equity firms and their portfolio companies. She counsels clients in connection with the negotiation and documentation of acquisition financing, and the representation of other domestic and foreign companies in the negotiation and documentation of their general corporate debt financings, project financings, refinancings and restructurings, including senior, first-lien/second-lien, mezzanine and subordinated debt transactions.
Kathy received pro bono awards for work done in connection with the spin-offs of a nonprofit corporation from its parent nonprofit corporation and in connection with the representation of a terminated employee in an administrative hearing and subsequent appeal before the New York State Appellate Division, Second Department.
Results
- Represented several private equity groups and their portfolio companies in connection with the negotiation of debt commitment letters and related credit documentation for the purposes of funding acquisitions, including senior secured credit facilities, secured second-lien credit facilities, bridge debt facilities and mezzanine debt facilities
- Led financing team on behalf of two developer clients in the negotiation and execution of financing documentation for two wind power, tax-equity projects
- Led financing team in the negotiation and execution of a note purchase agreement in favor of a venture capital client acting as purchaser of notes issued by an insurance company
- Led financing team in the negotiation and execution of construction loan agreements and related project documentation for a not-for-profit client’s development of two assisted living facilities
- Assisted financing team in our representation of BDO USA, one of the nation’s leading accounting and advisory firms, in the structuring, negotiation and documentation of its (i) $1.34 billion term loan facility with Apollo Global Funding, LLC as the Term Loan Agent, and (y) $150 million revolving credit facility with PNC Bank, National Association as Revolving Agent. The facilitates were used to repay existing indebtedness and provide for working capital needs, as well as to consummate the ESOP transaction
- Led financing team in the representation of entertainment client in the negotiation of its first-lien and second-lien credit facilities
- Led financing team in the refinancing of an oil company client’s credit agreement
- On-going representation of a privately held food service company in its existing credit agreement and note purchase agreements
- Represented two clients in their sale to new owners and the related payoff documentation required for each
