Overview
Adam Spiegel focuses his practice on representing lenders and borrowers in commercial finance transactions, with an emphasis on structuring, negotiating and documenting secured and unsecured personal-property financing transactions, private equity, mezzanine and venture capital investments, workouts and restructurings, and debtor-in-possession financings.
Adam has served as lead counsel on a wide range of financings in and out of bankruptcy involving a variety of businesses, including retailers, surgery centers, food processors and distributors, gold mines, restaurant franchisees, factors, lumber mills, software developers and heavy manufacturers.
Results
- Served as lead counsel for the borrower in Beecken Petty O’Keefe & Company’s acquisition of Genoa Healthcare Holdings, LLC, a leading provider of on-site pharmacy services in community mental health centers, involving senior and subordinated debt
- Served as lead counsel to the borrower in H.I.G. Capital, LLC’s acquisition of InterDent Service Corporation, a leading dental management company that operates in the western United States
- Served as lead counsel to GE Capital in connection with a senior secured revolving credit facility in favor of JAKKS Pacific, a publically owned leading designer and marketer of toys and consumer products
- Served as lead counsel to the borrower in Surgery Partners’ acquisition of surgery centers from NovaMed
