Overview
Stephen Pedersen focuses his practice on acquisition and other debt financing transactions. His clients include private equity sponsors, their portfolio companies and public and private companies. On behalf of owners, investors, purchasers, portfolio companies and other corporate borrowers, Stephen regularly structures, negotiates, drafts and documents a wide range of complex and routine domestic and international debt financing matters.
He provides counsel on leveraged buyouts, debt commitments, secured and unsecured first- and second-lien term loans and revolving credit facilities, unitranche facilities, bridge and mezzanine financings and other high-yield transactions, as well as fund-level financings, asset-backed loans, recapitalizations, workouts, special situations, debt restructuring and intercreditor agreements and related matters.
Results
- Represented TA Associates in a variety of transactions, including the structuring, negotiation and documentation of the financing of its leveraged buyout of Advantice Health, LLC and certain of its subsidiaries.*
- Represented Charlesbank Capital Partners LLC in the recapitalization of Polyconcept North America, Inc and certain of its affiliates consisting of an $800 million broadly syndicated term loan facility and $200 million revolving facility.*
- Represented Delos Capital in a variety of transactions, including its leverage buyout of Le Sueur Inc. and its recapitalization of United Flea Markets, LLC. *
- Represented Trivest Partners in a variety of transactions, including its leveraged buyout of Quatrro Business Support Services, Inc. and its recapitalization of Jon-Don, Inc.*
- Represented H.I.G. Capital in the structuring, negotiation and documentation of the financing of its investment in Enseo.*
