Overview
Kristine Suh focuses her practice on commercial lending, restructuring and financial services matters. She has represented various lending institutions in structuring, documenting and negotiating financing transactions, with a particular emphasis on asset-based and subordinated-debt financings, and in workouts and restructurings. Kristine also represents portfolio companies of private equity sponsors and other borrowers in secured loan transactions, and buyers and sellers of distressed companies.
Previously, Kristine was an associate at an international law firm, where she handled complex corporate and financing transactions, and managed all aspects of such transactions from inception through completion. She has extensive experience drafting and negotiating contracts in various matters, including general corporate, real estate, intellectual property, license, joint venture, equipment finance, mergers and acquisitions, domestic and cross-border corporate finance, capital markets and financial services.
Results
- Represented US Bank, N.A., as administrative agent for a syndicate of lenders, with a revolving credit facility provided to Space Exploration Technologies, Inc., a company that builds and other spacecraft for various organizations around the world, including the National Aeronautics and Space Administration (NASA) and the US Department of Defense
- Represented GE Capital, as administrative agent for a syndicated of lenders, with a $300 million senior secured revolving credit, term loan and capital expenditures facilities provided to Rentech Nitrogen, LLC, with a part of the proceeds used to fund the $138 million acquisition of Agrifos, LLC
- Represented Progressive Logistics, a portfolio company of H.I.G. Capital, LLC, in connection with the negotiation, documentation and execution of a $132 million term loan credit facility provided by Prospect Capital Corporation and a $10 million revolving loan credit facility provided by Fifth Third Bank
