Overview
Kate Williams focuses her practice on commercial real estate transactional matters, with a particular focus on the renewable energy and healthcare industries. With nearly 20 years of legal experience, she represents renewable energy developers, lenders, and investors; healthcare private equity sponsors; physician practices; hospitals; capital providers and other investors.
Kate advises clients in the negotiating of all aspects of commercial real estate transactions, including, but not limited to, complex ground lease structures; financing matters; complex surface and mineral estate matters related to the development of renewable energy projects; acquisitions; dispositions; and various office, medical office, industrial, sale/leaseback and retail leases.
Kate is a member of the Firm’s Pro Bono & Community Service Committee, Gender Diversity Committee, and Justice, Diversity, Equity & Inclusion Committee. She focuses her pro bono efforts on representing small nonprofit arts organizations in the Commonwealth of Massachusetts.
Prior to joining McDermott, Kate worked in the commercial mortgage-backed securities division of a prestigious international British bank where she worked on securitized financings in connection with the acquisition and disposition of commercial real property and negotiated various office, retail and industrial leases.
During law school, Kate was a member of the Ely Chapter of Lambda Alpha Student Organization. Prior to law school, she worked as an abstracter, underwriter and closer for a title company.
Results
- Represented Hannon Armstrong Capital LLC in a $30 million term loan financing for a renewable natural gas facility located in Jessup, Maryland
- Represented American Electric Power in the real estate aspects of purchase negotiations in connection with the acquisition of several solar project companies
- Represented Irradiant Partners, LP, an investment manager focused on liquid credit and renewable private equity and credit, in the offering of a maximum aggregate principal loan amount of $100 million to an innovator in the renewable energy space because of its use of anaerobic digestion
- Represented a private-equity-backed healthcare system operator in a $1.25 billion transaction, which involved the acquisition of real estate interests in nine acute care hospitals and numerous ancillary-owned and leased properties under a complex tax-driven master lease and mortgage loan structure
- Represented a private-equity-backed healthcare system operator in a $301 million transaction, which involved the acquisition of all the personal property and operations related to eight hospitals in various locations
- Represented Paris Emergency Center, LLC, an affiliate of Roundtable Medical Consultants, in the sale of substantially all the assets used in the business of a free-standing emergency care facility located in Paris, Texas, to a LifePoint Health affiliate
- Represented Gauge Capital LLC in connection with real estate matters related to its portfolio company, East Coast Institute for Research, LLC
- Represented Nautic Partners, a Rhode Island- private equity firm, in its acquisition of Angels of Care Pediatric Home Health, a nurse-owned and operated home health agency, from Varsity Healthcare Partners
